Nook Cloud Terms of Service
Draft terms for the managed Nook Cloud service. They are not effective contract terms yet.
Draft status and contracting prerequisites
This is an engineering draft for counsel review. It does not identify an approved contracting entity, governing law, jurisdiction, consumer eligibility, or effective date.
Nook Cloud must not be sold or represented as launched until those fields, pricing terms, service description, and an effective document version are approved and published.
Candidate service terms
The intended service is a managed collaboration product with customer organizations, workspaces, account roles, messaging, meetings, voice, and files. Organization owners administer membership and configuration within the permissions exposed by the service.
- Customers remain responsible for authorized users, lawful content, account security, and configured integrations.
- Availability targets, support response targets, service credits, usage limits, and data-location commitments apply only when an approved order and policy expressly include them.
- Suspension, export, termination, deletion, and legal-hold behavior require approved commercial and privacy schedules before launch.
Payments and changes
Online checkout, tax calculation, invoice issuance, refunds, and chargebacks are not implemented. No current registration flow proves payment or creates a tax invoice.
Material document changes are intended to use a new version and reacceptance workflow. Continued-use language alone must not silently replace explicit acceptance where reacceptance is required.
